These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and ConfiVentures Group LLC, a Georgia limited liability company doing business as ConfiScale (“ConfiScale,” “Company,” “we,” “us,” or “our”).
By accessing, purchasing, subscribing to, or using any ConfiScale services, systems, websites, software, automations, infrastructure, support services, or operational solutions, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you do not agree to these Terms, you may not access or use ConfiScale services.
1. Company Structure & Scope
ConfiScale is a division of ConfiVentures Group LLC.
ConfiScale provides:
· CRM and automation infrastructure
· Platform configuration and implementation
· Workflow and automation systems
· Operational infrastructure support
· ConfiOps operational services
· Strategic Operations Support (SOS)
· Ongoing execution and management retainers
· Client onboarding and operational workflow systems
· Communication and automation deployment services
ConfiScale operates as a systems implementation, automation, and operational execution provider.
ConfiScale does NOT provide:
· Legal advice
· Tax advice
· Financial advice
· CPA services
· Compliance auditing
· Cybersecurity management
· Managed IT services
· Employment or staffing services
· Business guarantees
· Revenue guarantees
· Marketing agency services
· Business coaching or consulting through ConfiScale
Any strategic, coaching, or advisory services outside the operational scope of ConfiScale may be referred separately through affiliated divisions of ConfiVentures Group LLC.
2. Eligibility & Authority
By using ConfiScale services, you represent and warrant that:
· you are at least 18 years old;
· you possess legal authority to enter into this agreement;
· you are authorized to act on behalf of the business or entity using the services;
· all information submitted to ConfiScale is accurate and complete;
· your use of the services complies with all applicable laws and regulations.
3. Service Structure
ConfiScale services may include:
A. Platform Access
Clients may receive access to software, CRM systems, automation tools, communication systems, scheduling systems, dashboards, reporting environments, and operational infrastructure.
Platform subscriptions are billed separately from implementation and support services.
B. Implementation Services
Implementation services may include:
· CRM setup
· workflow creation
· automation configuration
· communication systems setup
· onboarding systems
· reporting dashboards
· operational infrastructure configuration
· integration setup
· pipeline configuration
· reputation systems
· scheduling systems
Implementation services are mandatory for applicable ConfiScale offerings.
C. ConfiOps Services
ConfiOps provides operational infrastructure support, including but not limited to:
· onboarding systems
· operational workflows
· lifecycle systems
· SOP support
· operational communication structures
· process automation
ConfiOps builds operational systems but does not operate, manage, supervise, or assume responsibility for the Client’s business operations, employees, contractors, or internal management.
D. Strategic Operations Support (SOS)
Strategic Operations Support (SOS) provides operational guidance, execution oversight, systems coordination, and operational support.
SOS does not:
· create officer status;
· create fiduciary duties;
· grant operational authority over the Client’s business;
· create an employment relationship;
· authorize ConfiScale to make legal, financial, HR, tax, or executive decisions on behalf of the Client.
Clients retain full responsibility and authority over all business decisions.
4. Payment Terms
A. Fees
Clients agree to pay all fees associated with:
· setup and implementation;
· subscriptions;
· management retainers;
· SOS services;
· ConfiOps projects;
· operational deployments;
· add-on services.
All fees are stated in U.S. Dollars unless otherwise specified.
B. Non-Refundable Setup Fees
All setup, onboarding, implementation, configuration, and deployment fees are non-refundable.
Implementation work begins immediately upon project initiation.
C. Subscription Billing
Platform subscriptions automatically renew unless canceled before the next billing cycle.
Clients who cancel before the next billing cycle will not be charged for the upcoming cycle.
No refunds or prorated credits will be issued for unused time remaining within the current billing cycle.
Access remains active through the end of the paid billing period.
D. Retainer Cancellation
Management retainers require thirty (30) days written notice prior to cancellation.
Strategic Operations Support (SOS) engagements require sixty (60) days written notice unless otherwise stated in a separate written agreement.
E. Failed Payments
Payment methods may be automatically retried up to three (3) times before being considered a failed payment.
If payment remains unresolved after retry attempts, ConfiScale may:
· suspend account access;
· disable workflows or automations;
· pause communication systems;
· suspend campaigns;
· revoke support access;
· suspend operational execution;
· restrict platform functionality.
Services may remain suspended until all outstanding balances are resolved.
5. Suspension & Termination
A. Client Cancellation
Clients may cancel services in accordance with the applicable cancellation terms.
Cancellation does not relieve the Client of outstanding payment obligations.
B. ConfiScale Suspension Rights
ConfiScale may suspend services immediately for:
· non-payment;
· suspected fraud;
· platform abuse;
· spam complaints;
· unlawful messaging;
· TCPA violations;
· reputational threats;
· abusive behavior;
· unauthorized access attempts;
· violations of these Terms.
C. Immediate Termination
ConfiScale may immediately terminate services for:
· illegal activity;
· chargeback fraud;
· repeated abuse;
· phishing;
· unlawful marketing;
· harassment;
· conduct threatening ConfiScale vendors, infrastructure, staff, contractors, systems, or reputation.
ConfiScale reserves sole discretion in determining whether platform integrity or operational risk requires suspension or termination.
6. Data Retention & Account Closure
Immediately upon cancellation or termination:
· operational access may be suspended;
· workflows and automations may cease functioning;
· support access may end.
A. 0–90 Days After Termination
Clients may request:
· available data exports;
· branding assets;
· limited retrieval assistance.
No continued operational platform access is guaranteed.
B. 90–180 Days After Termination
Data retrieval becomes:
· discretionary;
· subject to availability;
· fee-based.
ConfiScale does not guarantee preservation or recoverability of retained materials during this period.
C. Permanent Deletion
After one hundred eighty (180) days of inactivity or termination, ConfiScale may permanently delete:
· workflows;
· automation systems;
· communication records;
· dashboards;
· uploaded materials;
· account configurations;
· operational structures;
· retained account data.
ConfiScale shall not be liable for deleted or unrecoverable information after the retention period.
Snapshots, templates, system architecture, operational frameworks, and proprietary implementation structures are non-transferable.
7. Intellectual Property Rights
A. Client-Owned Materials
The Client retains ownership of:
· logos;
· branding;
· uploaded content;
· customer data;
· client records;
· business documents;
· Client-created assets;
· proprietary business information.
B. ConfiScale-Owned Materials
ConfiScale retains all ownership rights to:
· templates;
· snapshots;
· automation frameworks;
· operational methodologies;
· implementation architecture;
· deployment structures;
· systems logic;
· workflows;
· reporting structures;
· SOP frameworks;
· operational systems;
· proprietary infrastructure;
· reusable implementation assets;
· ConfiScale methodologies and processes.
C. Limited License
Clients receive a limited, non-exclusive, non-transferable license to use ConfiScale deliverables internally within their business operations.
Clients may not:
· resell;
· sublicense;
· redistribute;
· transfer;
· duplicate for commercial use;
· reverse engineer;
· commercially reproduce;
· create derivative competing systems from; ConfiScale proprietary systems or infrastructure.
D. Non-Transferability of Snapshots & Systems
ConfiScale snapshots, frameworks, implementation structures, and proprietary operational systems are not transferable under any circumstance.
8. Confidentiality
Both parties agree to maintain confidentiality regarding non-public business, operational, financial, technical, and proprietary information disclosed during the relationship.
Confidential information may include:
· client records;
· business operations;
· automation systems;
· workflows;
· pricing;
· operational structures;
· implementation systems;
· proprietary methods;
· internal documentation.
Confidentiality obligations do not apply to information that:
· is publicly available;
· was already known without restriction;
· is independently developed;
· must be disclosed by law or court order.
ConfiScale may reference Client relationships publicly only with written permission from the Client.
9. Client Responsibilities
Clients are solely responsible for:
· maintaining legal compliance;
· obtaining lawful consent for communications;
· reviewing messaging and automations;
· verifying data accuracy;
· maintaining internal oversight;
· maintaining backups if desired;
· preserving access to third-party accounts;
· ensuring lawful marketing practices;
· ensuring lawful operational practices.
Clients are responsible for final approval of:
· campaigns;
· workflows;
· automation logic;
· messaging;
· operational deployments;
· communication systems.
Automation systems support operations but do not replace operational oversight or business management responsibilities.
10. Acceptable Use
Clients may not use ConfiScale services for:
· spam;
· phishing;
· unlawful solicitation;
· deceptive marketing;
· fraud;
· unlawful robocalling;
· unauthorized messaging;
· harassment;
· malware distribution;
· illegal lead generation;
· copyright infringement;
· unlawful data collection;
· activities violating carrier or messaging platform rules.
Clients agree to comply with all applicable:
· TCPA requirements;
· CAN-SPAM requirements;
· A2P messaging rules;
· applicable privacy laws;
· messaging platform policies.
ConfiScale reserves the right to suspend or terminate services for prohibited activities.
11. AI & Automation Disclosure
ConfiScale may utilize automation systems, AI-assisted systems, workflow automations, and automated communication technologies as part of operational delivery.
Clients acknowledge that:
· automated systems may generate or distribute communications;
· AI-assisted systems may contain inaccuracies;
· workflow outputs depend on provided data and configurations;
· Clients remain responsible for reviewing and approving operational outputs where applicable.
ConfiScale does not guarantee the accuracy, legality, or business effectiveness of AI-generated or automated outputs.
12. Third-Party Services & Vendor Dependencies
ConfiScale relies on third-party platforms and providers, including but not limited to:
· GoHighLevel;
· Twilio;
· Stripe;
· Meta platforms;
· Google services;
· email providers;
· AI platforms;
· communication carriers;
· external integrations.
ConfiScale is not liable for:
· vendor outages;
· API failures;
· carrier filtering;
· account suspensions;
· pricing changes;
· third-party policy changes;
· integration failures;
· external platform downtime.
Third-party platforms remain subject to their own terms, policies, and operational limitations.
13. Regulated Industries & Compliance Disclaimer
Unless separately agreed in writing, ConfiScale does not:
· guarantee HIPAA compliance;
· act as a HIPAA Business Associate;
· guarantee IRS compliance;
· guarantee legal or regulatory compliance;
· provide compliance auditing;
· guarantee financial industry compliance;
· provide legal or tax services.
Clients operating within regulated industries remain solely responsible for maintaining all required compliance obligations.
ConfiScale may access confidential operational information solely for implementation, configuration, automation, onboarding, and operational execution purposes.
Clients remain responsible for:
· legality of collected data;
· data retention obligations;
· regulatory obligations;
· accuracy of submitted information;
· compliance with applicable laws.
14. No Exclusivity
Nothing in these Terms creates exclusivity between the parties.
ConfiScale reserves the right to:
· work with competing businesses;
· service similar industries;
· develop similar systems;
· provide services to overlapping markets.
Confidential information shall remain protected notwithstanding such relationships.
15. Disclaimers
ConfiScale services are provided on an “AS IS” and “AS AVAILABLE” basis.
ConfiScale makes no guarantees regarding:
· revenue growth;
· profitability;
· business outcomes;
· lead conversion;
· deliverability;
· operational uptime;
· employee performance;
· campaign performance;
· customer behavior;
· automation effectiveness.
ConfiScale does not guarantee uninterrupted or error-free services.
Clients acknowledge that business operations require ongoing human oversight and operational management.
No verbal statements, marketing materials, projections, demonstrations, or discussions shall create guarantees or warranties unless explicitly stated in a signed written agreement.
16. Limitation of Liability
To the maximum extent permitted by law, ConfiScale and ConfiVentures Group LLC shall not be liable for:
· indirect damages;
· consequential damages;
· incidental damages;
· special damages;
· punitive damages;
· lost profits;
· lost revenue;
· business interruption;
· data loss;
· reputational damage.
ConfiScale’s total aggregate liability arising from any claim shall not exceed the total amount paid by the Client to ConfiScale during the three (3) months preceding the event giving rise to the claim.
17. Indemnification
Clients agree to indemnify, defend, and hold harmless ConfiScale, ConfiVentures Group LLC, affiliates, contractors, employees, and representatives from claims arising from:
· Client content;
· unlawful marketing;
· spam complaints;
· TCPA violations;
· copyright infringement;
· misuse of systems;
· data violations;
· regulatory violations;
· Client business activities;
· third-party disputes;
· unlawful communications.
18. Relationship of Parties
Nothing in these Terms creates:
· a partnership;
· joint venture;
· fiduciary relationship;
· employment relationship;
· agency relationship;
· officer relationship.
ConfiScale operates solely as an independent service provider.
19. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Georgia without regard to conflict-of-law principles.
Any disputes arising from these Terms shall be resolved through binding arbitration in the State of Georgia.
Notwithstanding the foregoing, ConfiScale may pursue court action for:
· intellectual property protection;
· injunctive relief;
· collection matters;
· unauthorized system use;
· misuse of proprietary materials.
Clients waive participation in class-action proceedings.
20. Assignment & Business Transition
ConfiScale may assign, transfer, restructure, merge, or transition these agreements to affiliated entities, successors, or reorganized business structures without requiring additional Client consent.
This provision includes future restructuring involving ConfiScale as a standalone legal entity.
21. Modifications to Terms
ConfiScale may modify these Terms at any time.
Updated Terms become effective upon posting or written notice.
Continued use of services after updates constitutes acceptance of revised Terms.
22. Entire Agreement
These Terms, together with applicable:
· service agreements;
· statements of work;
· addendums;
· privacy policies;
· acceptable use policies; constitute the complete agreement between the parties.
No oral statements or prior discussions modify these Terms unless confirmed in a signed written agreement.
